The Third Circuit just told the SEC it cannot dodge Coinbase’s demand for clearer crypto rules. The court ordered the agency to explain why it refuses to write the guidance the exchange has begged for since 2022. For traders and platforms, the ruling signals the first real crack in the SEC’s long-running “regulation by enforcement” strategy.

Coinbase filed a petition in 2022 asking the Commission to propose new rules for digital-asset trading, staking, and custody. When the SEC sat on the request for more than a year, Coinbase sued under the Administrative Procedure Act, claiming the delay was unlawful. The SEC moved to dismiss, insisting its inaction was unreviewable. A three-judge panel disagreed. Writing for the court, Judge Cheryl Ann Krause held that an agency’s “utter failure” to act on a rulemaking petition can itself be arbitrary and capricious, and therefore open to judicial review. The case now returns to the district court to decide whether the SEC’s foot-dragging was reasonable.

The decision narrows the SEC’s room to maneuver. It cannot simply ignore formal petitions while simultaneously bringing enforcement actions that treat tokens as securities. That dual-track approach—hammering firms in court while refusing to write rules—now carries litigation risk. Exchanges gain leverage to demand written standards before they overhaul compliance programs, and DeFi projects may cite the opinion to argue that enforcement without rulemaking chills innovation. Stablecoin issuers, whose status remains the murkiest, could also press the agency for clarity before the next wave of enforcement hits.

For markets, the ruling tilts power toward the industry without handing anyone an outright win. The SEC still controls the substance of any future rule, yet it must now defend its choice to stay silent. Traders should watch the next six months: if the Commission stalls again, expect fresh petitions and possible sanctions; if it finally publishes a proposal, pricing in compliance costs could pressure token values and exchange volumes.
