The ruling signals that exchanges and token issuers now have a clearer path to challenge what they see as regulatory overreach before facing enforcement actions.

The dispute began when the SEC issued an investigative order against Coinbase without first bringing a formal enforcement case, prompting the exchange to petition the court for review. Coinbase argued the SEC lacked authority to investigate without a clear statutory hook and that the agency was improperly treating digital assets as securities. The SEC countered that Coinbase had no right to judicial review until the agency actually filed charges. In a sharply worded opinion, the Third Circuit sided with Coinbase on the threshold issue, holding that the petition was ripe and that the exchange could seek immediate review of the agency’s investigative posture.

The decision tilts power toward market participants by giving them a weapon to test the SEC’s jurisdictional claims early rather than waiting for the agency to drop the hammer.
