GRAYSCALE SLAMS SEC FOR BITCOIN ETF BIAS
Grayscale Investments just forced the SEC to defend its refusal to let investors hold Bitcoin in an ETF wrapper. The D.C. Circuit tossed the Commission’s denial order, ruling that the agency had no rational basis for approving futures-based Bitcoin products while rejecting the spot version. Markets read the decision as the first real crack in the SEC’s wall against crypto exchange-traded vehicles.
The fight began when Grayscale asked the Commission to convert its existing Bitcoin trust into an ETF that would track the actual spot price of Bitcoin. The SEC said no, claiming it could not be sure the spot market was free of manipulation. Yet the same agency had already green-lit Bitcoin futures ETFs from other sponsors, arguing those products were sufficiently protected. Grayscale sued, arguing the SEC was treating identical underlying assets in contradictory ways. The three-judge panel agreed, calling the Commission’s explanation “arbitrary and capricious.”
In plain terms, the court told the SEC it cannot keep saying “futures are safe, spot is risky” when the economic risk is the same. The ruling sends the application back to the agency with instructions to reconsider under a consistent standard. Grayscale’s GBTC trust could still become an ETF, but the SEC must now show why it deserves different treatment or let it convert.
The decision narrows the SEC’s discretion to reject crypto products on vague manipulation fears when similar instruments already trade. Spot-Bitcoin ETFs are no longer a legal long shot; they are a regulatory probability. That shift matters for every exchange, custodian, and market maker waiting to list physically backed crypto vehicles.
For traders, the opinion lowers the barrier between traditional finance and crypto markets and raises the odds that billions in GBTC assets could soon trade like any other ETF. The SEC’s aura of total control over product approval just took a visible dent.
