Bitwise Updates XRP ETF Prospectus in New SEC Filing

Bitwise has submitted an updated prospectus for its XRP exchange-traded fund trust, adding a new entry to the product’s SEC filing history. The submission was made as a post-effective amendment on Form POS AM, a standard mechanism used to update disclosures in an existing registration statement.

Crucially, the amendment registered zero new shares. As a result, the filing should be understood as a disclosure update rather than an SEC approval notice, a signal of effectiveness, or a marker of a newly launched product.

The updated materials describe the fund as an ETP listed on NYSE Arca, with an expense ratio of 0.34%. The trust structure outlined in the prospectus includes Bank of New York Mellon as administrator and trust custodian, and Coinbase Custody Trust Co., LLC as the digital asset custodian.

  • Sponsor: Bitwise Investment Advisers, LLC
  • Marketing agent: Foreside Fund Services, LLC
  • Auditor: KPMG
  • Legal counsel: Chapman and Cutler, LLP
  • Identifiers: CUSIP 09174F107; ISIN US09174F1075

In the fund’s holdings disclosure dated 08/16/2026, the trust reported holding XRP at a 100% weight, with a listed market value of $298,871,965.55 and 11.17196 XRP per share. The materials also list 26,760,000 shares outstanding and show daily volume of 561,028 shares.

Why the procedural detail matters: crypto ETF filings often evolve through multiple steps—initial registration, amendments, exchange-related filings, effectiveness, and then launch and trading. A post-effective amendment like this one fits into the disclosure-maintenance phase of that lifecycle. It provides updated documentation for market participants to review, but it is not, on its own, evidence of a new approval or a new share registration.

The prospectus language describes the trust’s objective as seeking to provide exposure to the value of XRP held by the trust, net of expenses, generally the sponsor’s management fee. It also notes that the trust was organized under Delaware law and, as of the dates referenced in the filing excerpts, had undertaken organizational and registration-related activities consistent with setting up and maintaining the product’s structure and disclosures.
