Strategy Vote Tests Daily STRC Dividend Plan

Strategy shareholders are scheduled to vote Wednesday on whether to introduce daily dividend record dates for STRC, STRF, STRK and STRD, a change the company says could make STRC the first security to pay dividends every calendar day.
The vote carries an unusually high participation hurdle. Bitcoin.com News reported that abstentions and broker non-votes count against the principal proposal, while Michael Saylor controls 32.9% of the company’s total voting power.
What happened
The special meeting includes two proposals, according to Bitcoin.com News. Proposal 1 would amend the certificates governing STRC, STRF, STRK and STRD so that dividend record dates occur every calendar day. Proposal 2 would permit the meeting to be adjourned to collect additional votes.
Only holders of Strategy common stock who were shareholders of record on Sept. 25 may vote. The preferred stockholders themselves do not have voting rights on the proposal, Bitcoin.com News reported.
Approval of Proposal 1 requires an affirmative vote from holders representing a majority of the voting power of all outstanding common stock. That standard is important because a shareholder who abstains does not simply sit out the result. Bitcoin.com News said abstentions and broker non-votes have the same effect as a vote against Proposal 1.
Saylor holds 32.9% of Strategy’s total voting power, almost entirely through Class B shares that carry 10 votes each, according to Bitcoin.com News. The outlet reported that the company therefore needs about 17% more voting power from other shareholders for the measure to pass.
If shareholders approve the proposal, STRC holders would receive a cash dividend for each day in November, with amounts of $0.03 or $0.04 per share totaling $1.00, according to Bitcoin.com News. Those payments would be made on the business day after each record date beginning Nov. 1, at a 12.00% annual rate.
Bitcoin.com News also reported a timing condition: if approval is not obtained by Oct. 31, or if the amended certificate is not effective by Nov. 1, the daily payment arrangement would not begin under that timetable.
Why it matters
The shareholder decision is not solely a question of the dividend amount. It concerns how frequently the company identifies holders entitled to a dividend and how often it makes the related payments. Under the proposed structure, the record date would occur every day, including days that are not business days, while payment would follow on the next business day.
For STRC, the proposal would put the company’s description of a calendar-day dividend security into practice. Strategy says the plan would make STRC the first security to pay dividends every calendar day, while CEO Phong Le has described it as the first global security with calendar-day accruals.
The voting mechanics also make turnout material to the outcome. Because the proposal needs support from a majority of all outstanding common-stock voting power, rather than merely a majority of votes cast, shareholders who do not submit a valid vote can affect whether the measure receives enough support. The separate adjournment proposal could give the company a way to seek additional votes if necessary.
The result will also determine whether Strategy can implement the stated STRC schedule beginning in November. Bitcoin.com News described the approval and certificate-effectiveness dates as conditions for that start.
Background and context
Strategy’s board approved the broader daily-dividend proposal on Sept. 24, according to The Block, which cited an 8-K filed on Sept. 25. The proposal covers STRC, STRD, STRF and STRK and would establish dividend record dates on every calendar day, including weekends.
The Block reported that the change would not alter dividend rates or the companies’ total regular dividend obligations. Under the schedule described by the outlet, STRF, STRK and STRD would retain their Dec. 31 payment under the existing system, then move to daily record dates from January 2027.
Strategy management has said the daily payout design is intended to support price stability, liquidity and demand that could keep STRC near its $100 par value. The company links that objective to its ability to use preferred-stock sales to fund additional bitcoin purchases.
Strategy reported holding 848,517 BTC and $5.1 billion in U.S. dollar assets as of Oct. 25, according to its voting webpage. That balance-sheet disclosure provides context for the company’s focus on preferred-stock structures as part of its broader capital approach, although the shareholder vote itself concerns dividend administration for the four named preferred stocks.
The company began mailing its definitive proxy statement and proxy card for the special meeting on Oct. 5, Strategy said. The proxy materials are central because they set out both the voting eligibility date and the consequences of abstentions and broker non-votes cited by Bitcoin.com News.
What to watch
The immediate question is whether Proposal 1 obtains the required majority of all outstanding common-stock voting power. Saylor’s 32.9% voting position provides a substantial base, but Bitcoin.com News reported that additional support from other common shareholders is still needed.
Another point to follow is whether Proposal 2 is used. If the company lacks sufficient votes at the meeting, the adjournment authority could become relevant to the process of soliciting more shareholder participation.
Finally, the effective date of the certificate amendments will determine whether the STRC daily-payment timetable described by Bitcoin.com News can begin on Nov. 1. The voting result and the certificate’s effectiveness are separate conditions in the reported schedule.
