Ninth Circuit Rules Monex Atlas Margin Contracts Are Futures, Not Spot

The Ninth Circuit just told the CFTC it can chase Monex for running a $2 billion leveraged-metals shop the same way it chases crypto futures desks. In a single sentence buried in a 45-page opinion, the appeals court ruled that Monex’s “Atlas” margin contracts are futures, not spot sales, handing the regulator jurisdiction over a product that has long sat in a legal gray zone.

The dispute began when the CFTC accused Monex of fraud and off-exchange trading in violation of the Commodity Exchange Act. Monex argued its customers actually took title to silver and gold, making the deals spot transactions outside CFTC reach. The district court agreed, throwing the case out. On appeal the Ninth Circuit reversed. Writing for a unanimous panel, Judge Kim Wardlaw held that because customers never took possession, could never demand delivery, and routinely rolled positions with new margin, the contracts carried the “hallmarks of a futures contract.” The decision revives the CFTC’s lawsuit and, more importantly, signals that any platform offering retail margin exposure to commodities—physical or digital—may need to register or restructure.

For crypto markets the ruling is a warning shot. If leveraged metals trades are futures, then leveraged BTC or ETH products on offshore or DeFi venues could face the same classification once they touch U.S. persons. The CFTC gains a precedent that expands its reach without new legislation, while the SEC watches to see whether similar logic migrates to tokens. Exchanges that have relied on a “not-your-keys, not-your-problem” custody model now confront higher compliance costs and the risk that retail margin products could be pulled from U.S. IP addresses.

Traders who treat commodities and crypto interchangeably just learned the agencies may agree with them. Expect louder calls for clear rules—and quieter migration of U.S. volume offshore until those rules arrive.
